Terms of Service

The rules for using Deputant. We kept them as short and plain as the law allows.

Summary

  • You must be 18 or older. Deputant is invite-only and free during early access.
  • You choose your agents. You are responsible for what they do, and for following the rules of each website they use.
  • A human does a task only after you approve it. You are responsible for the tasks you approve.
  • The privacy filter helps, but it can make mistakes. You decide what to share.
  • Deputant is provided "as is". Our liability is limited.
  • Disputes go to individual arbitration, not class actions. You can opt out within 30 days.
  • If we add fees, we tell you at least 30 days before. You can close your account first.

1.About these terms

These Terms of Service ("Terms") are an agreement between you and Deputant, Inc., a Delaware corporation ("Deputant", "we", "us"). They apply when you use deputant.com, the Deputant apps, and the Deputant service. When you join the waitlist, create an account, or use Deputant, you agree to these Terms.

Please read section 18. It says that you and Deputant will resolve most disputes by binding individual arbitration, not in court, and that you give up the right to a jury trial and to a class action. You can opt out of arbitration within 30 days.

Our Privacy Policy explains how we handle your information.

In these Terms, these words have one meaning:

  • Agent means a third-party AI agent that you connect to Deputant, for example Meta Muse, xAI Grok Bot, Instinct, Hark, OpenAI Dots, and others.
  • Vault (the Deputant Vault) means the items you keep in Deputant: passwords, payment cards, addresses, connected apps, and memories.
  • Apps means third-party services you connect to Deputant, such as your calendar, email, or documents.
  • Privacy filter means the optional Deputant feature that scans requests and responses between your vault and an agent, and removes information that the agent does not need, based on your rules.
  • Human means a person on the Deputant team who does a real-world task for your agent through human help.
  • Agent email means the one shared Deputant email address that your agents use.

2.Who can use Deputant

  • You must be 18 or older.
  • You must be able to make a binding contract.
  • Deputant is for people in the United States.
  • During early access, Deputant is invite-only. You can join our waitlist, or a friend who uses Deputant can invite you. We decide who gets access. We can decline anyone on the waitlist, and we can decline any invitation.
  • Invitations are personal. Do not sell or trade them. We can cancel an invitation that is misused.
  • You cannot use Deputant if we closed your account before for breaking these Terms, or if the law does not allow you to use it.

3.Your account

  • Give us true and current information, and keep it up to date.
  • An account is for one person. Do not share your sign-in.
  • Keep your sign-in and your device safe. Use two-step verification when we offer it.
  • You are responsible for all activity in your account. This includes what the agents you connect do with it.
  • If you think someone used your account without permission, tell us at once (section 21).

4.What Deputant does

  • Vault. You store your passwords, payment cards, addresses, connected apps, and memories in one place. You choose which agents can use each item.
  • Privacy filter. If you turn it on for an agent, Deputant scans each request and response between your vault and that agent. It removes information that the agent does not need, based on your rules (section 6).
  • Virtual computer. Deputant runs a virtual computer on your own device. Your agent browses with your internet connection and your accounts. It uses your device's power, storage, and data plan. You need a device that meets our requirements.
  • Agent email. Your agents share one Deputant email address. It receives receipts, sign-in codes, and shipping updates.
  • Human help. When an agent gets stuck, it can ask a human on the Deputant team to do a real-world step. This happens only when you approve the task (section 8).

5.Your agents and what they do

  • You choose which agents to connect, and which vault items each agent can use.
  • You are responsible for what your agents do through Deputant, as if you did it yourself. This includes purchases, bookings, messages, sign-ins, and agreements that your agents accept.
  • Agents make mistakes. Check their work, and set limits that you are comfortable with.
  • Each website and app has its own terms. Some do not allow agents or automated access. You are responsible for following the terms of each website and app that your agents use.
  • You can remove an agent's access at any time.

6.The privacy filter

  • The privacy filter is optional. You turn it on or off for each agent, and you set the rules.
  • The filter uses automated AI scanning. Humans on the Deputant team do not review each request and response.
  • The filter is a helpful tool, not a guarantee. It can miss information that your rules say to remove. It can also remove information that an agent needs, and a task can fail as a result.
  • You are responsible for what you choose to share with each agent, whether or not the filter is on. Do not rely on the filter as your only protection. Give an agent access only to the items you are comfortable with it using.

7.Agents and websites are not ours

Other companies make the agents you connect, including Meta Muse, xAI Grok Bot, Instinct, Hark, OpenAI Dots, and others. We do not own, control, or endorse them, and we are not responsible for them. Their own terms and privacy policies apply when you use them. The same is true for the websites, stores, and apps your agents use.

We are not a party to purchases or contracts that your agents or our humans make for you. The seller is responsible for its goods and services. Product names belong to their owners.

8.Human help

  • A human does a task only after you approve that task. Each task needs its own approval.
  • You choose which kinds of tasks humans may do. You can turn human help off.
  • Before you approve, we tell you what the task is and which vault items the human will use.
  • The human uses only the items the task needs.
  • The human acts for you and follows your instructions. You are responsible for checking a task before you approve it, for the task you approve, and for its costs, such as the price of an item, shipping, or return fees.
  • A human can decline a task that is unsafe, illegal, or against these Terms.
  • We cannot promise a result. For example, a store can refuse a return.

9.The agent email address

  • Use the agent email address for your own accounts and purchases.
  • We store the messages it receives in your account. The agents you allow can read them.
  • We delete messages after 90 days, unless you choose to keep them.
  • Do not use it to send spam, or to sign up for services in another person's name.
  • If your account closes, the address stops working. We will not give your address to another person.

10.Acceptable use

Do not use Deputant, and do not let your agents use it, to:

  • Commit fraud, or use a card, account, or password that you do not have permission to use.
  • Break the law, or get around laws, sanctions, age checks, or purchase limits.
  • Get around a website's security checks, limits, or bans.
  • Harass, threaten, or deceive anyone. This includes our humans and the people they call for you.
  • Send spam or bulk messages.
  • Buy, sell, or arrange anything illegal.
  • Harm Deputant. Do not hack it, overload it, copy it, or reverse engineer it. If you find a security problem, please report it to support@deputant.com.
  • Resell Deputant, or give other people access to it, without our written permission.

If you break these rules, we can stop a task, limit features, or suspend or close your account (section 17).

11.Your content and our property

"Your content" means what you put in Deputant: your vault, memories, privacy filter rules, task instructions, and agent email.

  • You own your content.
  • You give us permission to store, process, and use your content only to run Deputant for you, as our Privacy Policy describes. We do not use your content to train AI models. This permission ends when you delete the content or close your account, except for copies the law requires us to keep.
  • You confirm that you have the right to store your content in Deputant and to share it with the agents you choose.
  • Deputant's software, design, name, and logo belong to us. We give you a personal, limited, non-exclusive right to use Deputant under these Terms. You cannot transfer this right.
  • If you send us ideas or feedback, we can use them without paying you.

12.Fees

  • Deputant is free during early access. We have no paid plans yet.
  • If we add fees later, we will tell you at least 30 days before they apply. You can close your account before the fees apply. We will not charge you unless you agree to pay.
  • Purchases that your agents or our humans make for you are between you and the seller. You pay for them with your own card. They are not Deputant fees.

13.Early access and changes to Deputant

  • Deputant is in early access. Features can change, break, or stop.
  • We can add, change, limit, or discontinue any feature, or Deputant itself. When it is reasonable, we tell you before we remove a feature you use.
  • Before we remove a feature that stores your data, we give you a way to export that data.

14.Disclaimers

Deputant is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied. This includes warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not promise that Deputant will be available, secure, or free of errors. We do not promise that an agent will do a task correctly, that the privacy filter will remove all the information your rules cover, or that a human task will succeed. Some states do not allow these disclaimers, so some of them may not apply to you.

15.Limitation of liability

To the fullest extent the law allows:

  • Deputant is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we knew they were possible.
  • Deputant is not liable for the acts of agents, websites, stores, apps, or other third parties that we do not control. We are not liable for losses that come from what you chose to share, from information the privacy filter did not remove, or from a human task that you approved and that the human did as you instructed.
  • Our total liability for all claims about Deputant is limited to the greater of (a) the amount you paid us in the 12 months before the event that caused the claim, or (b) US $100. Deputant is free during early access, so today this limit is $100.

These limits do not apply to harm caused by our fraud, gross negligence, or willful misconduct, or where the law does not allow them.

16.Claims caused by your use

In plain words: if someone makes a claim against us because of one of the things listed below, you pay our costs.

You agree to defend, indemnify, and hold harmless Deputant and its officers, directors, employees, contractors, and humans from any third-party claim, and from the losses, damages, costs, and expenses (including reasonable lawyers' fees) that come from it, to the extent the claim arises from:

  • What your agents do through Deputant.
  • Your content.
  • A human help task that you approved, when the human did it as you instructed.
  • Your breach of these Terms.
  • Your breach of the law, or of the terms of a website or app that you or your agents use.

This does not apply to the extent the claim comes from our fraud, gross negligence, or willful misconduct. We can take control of the defense of a claim. If we do, you will help us as we reasonably ask. Do not settle a claim that affects Deputant without our written permission.

17.Suspension and ending your account

  • You can close your account at any time in your settings or by email. Export your data first if you want to keep it.
  • We can suspend, limit, or close your account at once if you break these Terms, if we see abuse, fraud, or a security risk, if the law requires it, or to protect you, other people, or Deputant. When we can, we tell you why and give you time to export your data.
  • During early access, we can also close an account for any other reason. If we do, we tell you at least 30 days before and give you a way to export your data.
  • If we stop the Deputant service completely, we will tell you at least 30 days before.
  • Sections 11 (our property and your feedback), 14, 15, 16, 18, and 20 continue after your account ends.

18.Disputes and arbitration

Talk to us first

If you have a problem with Deputant, email support@deputant.com with your name, your account email, a description of the problem, and what you want us to do. If we have a problem with you, we will email you. Both of us will try in good faith to resolve it within 60 days. Neither of us will start an arbitration or court case before then.

Binding individual arbitration

You and Deputant agree to resolve any dispute, claim, or controversy that arises from or relates to these Terms or Deputant ("Dispute") by binding individual arbitration, and not in court. The American Arbitration Association ("AAA") runs the arbitration under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. Arbitration fees follow the AAA Consumer Arbitration Rules. The arbitrator can give the same individual relief that a court could, but only for you as an individual. (In arbitration, a neutral person called an arbitrator decides the Dispute, not a judge or jury.)

The arbitration takes place by video or phone, or on written submissions, unless the arbitrator decides that an in-person hearing is needed. An in-person hearing takes place in San Francisco, California, or in another place that we both agree to.

Exceptions

  • Either of us can bring an individual claim in small claims court in San Francisco County, California, or in the county where you live, if the claim qualifies.
  • Either of us can ask a court to stop the misuse or infringement of intellectual property, or the misuse of Deputant's systems.

No class actions and no jury

You and Deputant can bring claims against each other only as individuals, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. You and Deputant each give up the right to a jury trial. (A class action is one case that a few people bring for a large group.) A court, not the arbitrator, decides any question about this paragraph. If a court decides that this paragraph cannot be enforced for a claim, that claim goes to court and not to arbitration, and the rest of this section still applies to other claims.

Your right to opt out

You can opt out of arbitration within 30 days after you first agree to these Terms. To opt out, email support@deputant.com with the subject "Arbitration opt-out", your name, and your account email. If you opt out, the rest of these Terms still apply, and Disputes go to the courts named below.

Governing law and courts

The laws of the State of Delaware apply to these Terms, without regard to conflict of law rules. Federal law also applies where it governs. Any Dispute that does not go to arbitration or small claims court goes to the state or federal courts in San Francisco County, California, and you and Deputant agree to the jurisdiction of those courts.

19.Changes to these terms

We will update these Terms as Deputant changes. When we do, we change the "Last updated" date at the top. If a change is important, we tell you by email or in the app at least 30 days before it takes effect. If you do not agree to the new Terms, stop using Deputant and close your account. If you keep using Deputant after the change takes effect, you agree to the new Terms. A change to section 18 does not apply to a Dispute that either of us told the other about before the change.

20.General

  • These Terms and the Privacy Policy are the full agreement between you and us about Deputant.
  • If a court finds part of these Terms cannot be enforced, the rest still applies.
  • If we do not enforce a part of these Terms, we can still enforce it later.
  • You cannot transfer these Terms to someone else. We can transfer them in a merger, sale, or reorganization of Deputant.
  • We are not responsible for delays or failures caused by events outside our control, such as outages, disasters, or changes to agents and websites.
  • We can send you notices by email or in the app. You can send notices to us at support@deputant.com.
  • These Terms do not give rights to anyone except you and Deputant.
